1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Yoyo website, platform, applications, and related services (collectively, the “Services”) provided by Yoyo MQ Inc. (“Yoyo,” “we,” “us,” or “our”). By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
You must be at least 18 years old and capable of forming a binding contract to use our Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Yoyo provides an Internet of Things (IoT) platform that enables users to connect, monitor, automate, and manage connected devices and their data. Our Services include device connectivity, data processing, workflow automation, analytics, fleet management, and related features.
Yoyo is a pre-seed platform in active development. Features, availability, and pricing are subject to change. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.
3. Accounts and Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
We may suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or international statute, including Canadian and American export control laws
- Infringe upon the intellectual property or privacy rights of others
- Transmit malware, viruses, or any harmful code
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services in any jurisdiction where such use is prohibited by law
- Collect or harvest data from the platform without authorization
We reserve the right to investigate and take appropriate action against any violation of these rules, including removal of content and termination of access.
5. Fees and Payment
Certain features of the Services require payment of fees. By selecting a paid plan, you agree to pay all applicable fees and taxes. Fees are billed in advance on a recurring basis according to your selected billing cycle.
During our pre-seed period, basic Services may be offered free of charge. We reserve the right to introduce or modify fees at any time with reasonable notice.
All fees are non-refundable except where required by law or as expressly stated in our refund policy.
6. Intellectual Property
The Services and all content, features, and functionality—including software, text, graphics, logos, and designs—are owned by Yoyo or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any data, content, or materials you submit to the Services (“User Content”). By submitting User Content, you grant us a limited license to use, process, and store that content solely for the purpose of providing and improving the Services.
7. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or if we reasonably believe your use poses a risk to the security or integrity of the Services.
Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination—including ownership, indemnification, and limitation of liability—will remain in effect.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or that any defects will be corrected.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOYO AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to liability, or one hundred Canadian dollars (CAD $100), whichever is greater.
10. Indemnification
You agree to indemnify, defend, and hold harmless Yoyo and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada. You consent to the personal jurisdiction of such courts.
Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any jurisdiction.
12. Changes to These Terms
We may revise these Terms from time to time. We will post the updated Terms on our website and update the effective date. Material changes will be communicated to you via email or through the Services. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.
13. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision does not constitute a waiver of that right. These Terms constitute the entire agreement between you and Yoyo regarding the Services and supersede all prior agreements.
